1. Acceptance of Terms

By accessing or using the Swifty3PL Fulfillment Network Platform ("Platform"), operated by Swifty3PL ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, you may not access or use the Platform.

2. Description of Service

Swifty3PL provides a fulfillment network platform that connects e-commerce sellers ("Merchants") with vetted warehouse and fulfillment providers ("Providers") across the United States. Our services include order fulfillment coordination, inventory management, shipping logistics, and related tools.

3. User Accounts

To use our Platform, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Merchant Obligations

Merchants using the Platform agree to:

  • Provide accurate product information, including dimensions, weight, and handling requirements
  • Maintain adequate inventory levels and update stock information promptly
  • Comply with all applicable laws regarding product safety, labeling, and shipping
  • Pay all fees and charges in accordance with the agreed-upon pricing schedule
  • Not ship prohibited, hazardous, or illegal items through the Platform

5. Provider Obligations

Fulfillment Providers on the Platform agree to:

  • Maintain proper licensing, insurance, and certifications as required
  • Process and ship orders within the agreed service level agreements (SLAs)
  • Handle all inventory with reasonable care and in accordance with storage requirements
  • Maintain accurate inventory counts and provide real-time reporting
  • Comply with all applicable warehouse safety and employment regulations

6. Fees and Payment

Service fees are outlined in your specific service agreement. All fees are due as specified in your billing cycle. Late payments may incur interest charges of 1.5% per month. We reserve the right to suspend services for accounts with outstanding balances exceeding 30 days past due.

7. Intellectual Property

The Platform, including its design, features, content, and technology, is owned by Swifty3PL and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Platform without written permission.

8. Limitation of Liability

Swifty3PL acts as a platform connecting Merchants and Providers. While we vet our Providers and facilitate transactions, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for damage to inventory, shipping delays, or losses caused by Providers or other third parties beyond our reasonable control. To the maximum extent permitted by law, the total aggregate liability of Swifty3PL and its parent company, ShopWebCo, Inc., for any claim arising out of or relating to the Platform — including any claim relating to a product — is limited to US$500 (or the fees you paid us in the twelve (12) months preceding the claim, whichever is greater). Claims relating to physical loss of or damage to stored inventory are governed by the Fulfillment Services Agreement, which may set separate, specific terms. Nothing here limits liability that cannot be limited under applicable law, such as for gross negligence, willful misconduct, or fraud.

9. Indemnification

You agree to defend, indemnify, and hold harmless Swifty3PL, its parent company ShopWebCo, Inc., its Providers and Merchants, and each of their respective officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, the goods you ship or store, your violation of these Terms or any law, or your violation of any third-party right.

10. Termination

Either party may terminate the service agreement with 30 days written notice. We may suspend or terminate access immediately for violations of these Terms. Upon termination, you remain responsible for any outstanding fees, and we will coordinate the return or transfer of any inventory held by Providers on your behalf.

11. Dispute Resolution

Any dispute arising from these Terms or your use of the Platform will first be addressed through good-faith negotiation. If unresolved within 30 days, the dispute will be resolved by final and binding individual arbitration administered by the American Arbitration Association and seated in Dallas, Texas, USA. You waive the right to a trial by jury and the right to participate in any class, collective, or representative action. Either party may still bring a qualifying individual claim in small-claims court.

12. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Platform with at least 30 days' notice. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, and applicable U.S. federal law, without regard to conflict-of-law principles. Subject to the arbitration section above, the exclusive venue for any permitted court proceeding is the state and federal courts located in Dallas, Texas, USA.
